A control block trade can be explained by the expectation of financial gains, shared by all shareholders, or by the expectation of private benefits, exclusive to the buyer and possibly at the expense of other shareholders’ rents. The market for corporate control contributes to social welfare when it improves the efficiency of the allocation of resources. When the objective of a block transaction is private benefits, social welfare may be negatively impacted as minority shareholders could withdraw from the market. Therefore the estimation of private benefits would allow the efficiency of the market for corporate control to be assessed. Specifically, the aim of this paper is to calculate private benefits in the Spanish market for partial control. Using a sample of partial control transactions over the period 1990–2016, we find that the median of private benefits is negative, therefore it appears that there is no inefficient use of resources in the Spanish partial control market as a whole, however private costs are detected. The variability of private benefits is explained in a significant way by variables related to the control structure of the target firm, such as the controlling position of the buyer after the transaction, the contestability of control and the cross-shareholdings between the buyer and large shareholders. 基于中介效应模型和2007~2016年中国省际面板数据,构建异质性环境规制、技术创新与工业绿色化的作用机理理论分析框架,并通过构建异质性环境规制指标体系和工业绿色化指标体系将异质性环境规制与技术创新驱动工业绿色化的作用机理进行实证检验。研究发现:行政型环境规制对工业绿色化起抑制作用,不存在技术创新中介效应;市场型环境规制对工业绿色化的影响存在部分中介效应,可通过技术创新"挤出效应"抑制工业绿色化;公众型环境规制与工业绿色化关系只有中介效应,且公众型环境规制通过技术创新"激励效应"促进工业绿色化;异质性环境规制驱动工业绿色化的技术创新中介效应的研究结论经稳健性检验依然不变。研究认为:在推进异质性环境规制驱动工业绿色化过程中,应充分利用公众型环境规制驱动技术创新"激励效应",同时应有效规避市场型环境规制驱动技术创新"挤出效应"。 相似文献

对产业结构演化的研究都是从供给端计算的产业结构,本文构造了从需求端计算的产业结构并依此对美国需求端产业结构的演化进行了实证分析。研究表明,当年价所计算的美国需求端三次产业结构的变化小于供给端产业结构的变化;1970年以来美国第二产业的变化差异中近40%可以用外贸因素来解释。进而本文采取不变价计算了美国产业结构的变化,研究表明,自1970年以来按不变价计算的美国需求端的产业结构变化很小,且美国第三产业比例提升中有31%可以用不同产业价格因素变化来解释,44%可以用国际贸易来解释,仅有25%可以用第三产业收入弹性的变化来解释,因而收入弹性不是美国第三产业比例提升的重要原因。美国能够维持经常账户的逆差,将第三产业作为动力产业的根本原因在于美元的霸权地位。相比较而言,中国一直以来处于国际收支“双顺差”的状态,中国的具体国情和国家实力均无法满足大规模输出人民币使之成为其他国家储备货币的条件。 相似文献

Using an extended LHARG model proposed by Majewski et al. (2015, J Econ, 187, 521–531), we derive the closed-form pricing formulas for both the Chicago Board Options Exchange VIX term structure and VIX futures with different maturities. Our empirical results suggest that the quarterly and yearly components of lagged realized volatility should be added into the model to capture the long-term volatility dynamics. By using the realized volatility based on high-frequency data, the proposed model provides superior pricing performance compared with the classic Heston–Nandi GARCH model under a variance-dependent pricing kernel, both in-sample and out-of-sample. There is growing concern that farmland transfers lead to less agricultural investment, which may adversely affect agricultural productivity growth in China. Prior research has primarily focused on the differences between owned cultivated land and rented plots, but little is known about how farmland transfers between relatives, which are popular in rural China, specifically affect agricultural investment. In this paper, we present a conceptual framework of transaction cost economics to compare different contracting strategies in China's farmland rental markets. As farmland rental markets in China are immature, land transfer between relatives establishes bilateral governance, which has the advantage of addressing the opportunistic activities of both parties and can ultimately increase investment by tenants. Based on data from two waves of household surveys, we empirically examine the impact of bilateral governance on the application of organic fertilizer, an indicator for agricultural investment. Our findings show that apart from economic factors, kinship is important to the functioning of farmland rental markets in rural areas. 相似文献

ABSTRACTLeadership, although commonly assumed to be greatly significant, is not typically studied in terms of structural characteristics accounted for in organizational performance. The effect of top executive leadership is explored here as a key factor that reflects organizational characteristics by offering a new framework and presenting an empirical test of Korean business firms. This research can be possibly made by focusing on the size of the leadership which explicates the difference between structural, resource and contextual variables in organizations. The multivariate regression analysis shows that firm size, leadership, debt and export significantly affect organizational performance, as measured by net income. We investigate the influence of the recent comprehensive institutional quality dimensions of Karolyi (2015), such as market capacity, operational efficiency, foreign accessibility, corporate transparency, legal protection, and political stability, on financing decisions of firms across 56 countries between 2000 and 2015. We find that stronger institutional quality or lower fundamental risks in a country ease firms' access to long-term debt, and equity financing. We attribute our results to institutional environments influencing financing decisions by shaping the severity of market frictions, such as agency conflicts and information asymmetry, and transaction costs. As a result, we conclude that any improvement in a country's institutional environment will boost firms' access to long-term financing, and thus longer-term investments that promote countries' economic growth will be more feasible. This paper constructs alternative balanced scorecards based on high‐performance work system (HPWS) and employment relations system (ERS) models. The models are depicted and compared in diagrams and used as framework skeletons for building separate HPWS and ERS scorecards, intended to provide a detailed data picture of the operational health and performance of an organization's employment/HR system and its operations, processes, and inputs/outputs. The scorecards are filled in with nationally representative data from 2,000+ U.S. workplaces using more than 50 employment/HR indicators, as reported by separate panels of managers and employees. The indicators for each workplace are aggregated into an overall HR/employment system score, ranked from low‐to‐high, and graphed as frequency distributions. These distributions provide a unique snapshot picture of the mean and dispersion of the state of employment relations and HR system performance for companies across the United State. They also reveal that “models matter” since the HPWS and ERS scorecards provide distinctly different evaluation assessments. 相似文献
